Compensation Publications

Compensation and corporate governance related publications relating to executive officers and non-employee directors are available to boards, their committees, executive management, and other interested parties.


The seventh (2007) edition of the Compensation Committee Guide continues to serve as a unique practical reference for Compensation Committee members and for those who assist and advise committees. There are numerous useful charts, checklists, exhibits, and models that apply to varied organizations. Highlights of the completely revised edition include: committee best practices, tally sheets, innovative checklists, required evaluation forms, succinct executive and director compensation primers, committee charters, and golden parachute payment worksheet illustrations. The guide now also incorporates a special new section on non-employee director compensation. All seven editions have been written (since 1989) to serve as supplements to the NACD Blue Ribbon Commission Reports on the subject matter. The author was a member of earlier Executive and Director Compensation Commissions and also developed and taught the initial Compensation Committee courses offered by NACD. The previous editions have been recognized as among the top governance publications by NACD. It has also been listed as a recommended resource by the NACD Blue Ribbon Commission Reports on Executive Compensation and The Role of the Compensation Committee.

Board of Director Development and Compensation, Third Edition, 2005, addresses total director pay elements, board member performance evaluation, independence, development, and other regulatory requirements, current governance issues, liability and indemnification, and illustrates various director roles and pay alternatives. Over 20 recently published surveys are individually summarized. It is also useful as a general reference guide in total director compensation program assessment.

This "one-of-a-kind" book was produced to serve as a general planning primer in the determination of compensation arrangements for non-employee directors. It presents both an overall view of required director roles and compensation, as well as reviewing certain pay packaging techniques that have been implemented by various types of companies. Special and unique circumstances are also addressed.
